1. Acceptance of Terms

By accessing or using the Nivara platform ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is operated by Nivara Technologies, Inc. ("we", "us", "our").

2. Description of Service

Nivara is a business intelligence platform that helps users discover, research, and organize information about businesses. The Service includes business search, AI-powered enrichment (finding decision makers, contact information, and custom research), collection management, and data export features.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activity under your account

4. Credits and Payment

The Service operates on a credit-based system:

  • New accounts receive a complimentary allocation of credits
  • Enrichment features consume credits at published rates
  • Some features (Find Owner, Find Contact) only charge credits when results are found
  • Credits are non-refundable and non-transferable
  • We reserve the right to modify credit pricing with reasonable notice

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable laws
  • Send unsolicited communications (spam) using contact information obtained through the Service
  • Attempt to access data belonging to other users
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated means to access the Service beyond the provided API
  • Resell or redistribute data obtained through the Service without authorization
  • Use the Service in ways that could harm, disable, or impair it

6. Data and Content

Your Data: You retain ownership of data you input into the Service (collections, notes, tags). You grant us a license to process this data solely to provide the Service.

Enrichment Results: Business information obtained through enrichment features is derived from publicly available sources. We do not guarantee the accuracy, completeness, or timeliness of enrichment results. You are responsible for verifying information before relying on it.

Shared Data: Enrichment results (contact information found by AI agents) may be cached and served to other users requesting the same information. By using enrichment features, you acknowledge that results may benefit other users of the platform.

7. Compliance with Laws

You are responsible for ensuring your use of the Service and any data obtained through it complies with all applicable laws and regulations, including but not limited to data protection laws (GDPR, CCPA), anti-spam laws (CAN-SPAM, TCPA), and telemarketing regulations. Nivara provides tools — how you use the data is your responsibility.

8. Intellectual Property

The Service, including its design, features, and underlying technology, is owned by Nivara and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that enrichment results are accurate, complete, or current. Business information changes frequently, and AI-generated research may contain errors. You should independently verify critical information before taking action based on it.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIVARA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may close your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Data deletion will be processed in accordance with our Privacy Policy.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service. Continued use after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms will be resolved in the courts of Delaware.
